The vast majority of our experience has been in serving as domestic advisor to international organizations and investors, helping foreign-based companies in navigating the business terrain here in the U.S. Notable examples of our local representation of foreign-based companies are Kikkoman, NEC Electronics and Ebarra.

We also help U.S. entities invest overseas and advise U.S. companies on export control.

Representative Experience

  • Representation of a California company involved in the import and export of industrial equipment and electrical products with the People's Republic of China, and providing consulting services to companies seeking to expand into the Chinese market
  • Assisting a West Coast oil company and six of its subsidiaries, including a Hong Kong corporation and a British Virgin Islands corporation, in a $35 million revolving credit and $15 million term loan transaction. Special counsel was engaged in Hong Kong and the British Virgin Islands for purposes of rendering legal opinions for the transaction.
  • Representation of a Danish bank in various matters including the assignment of a preferred ship mortgage involving a $5.86 million ocean-going vessel based in Seattle, Washington, and the making of a secured operating loan for another vessel
  • On behalf of a Danish company, acquisition of approximately 31 wind turbine generators located in California from a bankruptcy estate
  • A litigation involving the government of Taiwan
  • A major arbitration to the U.S./Iranian Claims Tribunal
  • Set-up of a Cayman Island subsidiary of a local cable company
  • Formation of a closely-held California company for a Japanese family
  • Assisting a U.S. client with foreign subsidiaries in secured loan transactions where the bank is granted a security interest in both stock in foreign corporations and assets of foreign subsidiaries
  • Development of a software license agreement for use in certain EU jurisdictions
  • Representation of a U.S. underwriter in offering of American Depository Receipts (ADRs) by a foreign issuer
  • A preferred stock private placement to a Cayman Islands purchaser on behalf of a U.S. issuer
  • Private placement to a U.S. insurance company of AT&T telephone receivables due from a South American telephone company
  • Assisting with the U.S. initial public offering of shares of Canadian-based Cineplex Odeon Corporation
