Professional Experience
Cathy’s practice is devoted to representation of nonprofit and public health care providers and payors. Her practice includes managed health care, acquisitions, mergers and affiliations of health care businesses, financing transactions (particularly tax-exempt bond financings), health regulatory and compliance issues, contract negotiation and preparation, and general counseling to public and private health care entities. Cathy’s experience also includes representing entities which assume Medi-Cal and indigent care obligations. She currently serves as general counsel to the County Medical Services Program (CMSP) Governing Board.
Mediation
Cathy is a graduate of the American Health Lawyers Association Mediator Training Program and offers mediation services concerning health care issues.
Representative Public Entity and Health Care Related Matters
Representation of a wide variety of health care providers, public agencies and nonprofit and for profit entities in general business counseling, operational issues, managed care and other health care matters, contract preparation and negotiation, financing, trouble shooting and problem solving.
Representation of nonprofit health care system, health care providers, healthcare districts and other entities in the affiliation, merger or acquisition of nonprofit health care entities and providers valued at $10 to $500 million.
Representation as lead borrower’s counsel to a major nonprofit health care system and other health care providers and entities in the financing and refinancing of over $3 billion over twenty years.
County Medical Services Program Governing Board. Serves as general counsel since 1994, prior to its inception in 1995. Representation includes overseeing all legal matters concerning the approximate $300 million budget public health care program that provides health care services to medically indigent adults in 34 of California’s rural and semi-rural counties. In 2003, the Governing Board transitioned its prescription drug benefit services from the State of California Department of Health Services to a pharmacy benefits manager. In 2005, the Governing Board transitioned its third party administrator from the Department of Health Services (which has administered the Program since its inception) to BC Life and Health Insurance Company, Inc., an affiliate of Blue Cross of California.
Eastern Plumas Healthcare District in the acquisition of assets of Sierra Valley District Hospital.
Mills-Peninsula Health Services, a nonprofit health care provider, in negotiations with Peninsula Healthcare District for the development of a $488 million replacement hospital.
