Professional Experience

Nancy joined the firm in 1985 and is a senior member of the Business Services practice group. She is also an AV-rated lawyer, the highest rating given by Martindale-Hubbell for legal ability and ethical standards.

Nancy's transactional practice emphasizes business, commercial and health care law, particularly acquisitions and sales of businesses, business counseling, contract negotiation and preparation, corporate mergers, joint ventures and secured financing transactions. With a masters degree in business administration, Nancy has been distinctively positioned to build her practice with an understanding of a business person's perspective and an appreciation of business issues.

She serves as general counsel to a number of California corporations, both for profit and nonprofit organizations. Her advice to nonprofits, principally trade associations, public charities and private foundations, focuses on formation, governance, tax-exemption and compliance matters, and relationships between affiliated for profit and nonprofit entities.

Nancy has further enhanced her expertise in the corporate governance area by recently becoming certified through UCLA's Director Training and Certification Program, a program accredited by Institutional Shareholder Services (ISS) and designed to improve directors' abilities to govern publicly traded corporations while protecting directors and corporations from liabilities and lawsuits. ISS is the world's leading provider of corporate governance and proxy voting services.

Asset acquisition of a software company with covenants not to compete and post-closing employment of principal

Asset acquisitions of professional services firms in the building and construction industry for stock and cash with covenants not to compete and post-closing employment of principals

Asset sale of a security firm where a portion of the consideration is to be paid in an "earn-out"

Formation of a limited liability company and asset acquisition of a book and gift shop in a bulk sales transfer

Representation of multiple clients in the formation and tax-exemption of trade associations in the hospitality, social and human services industries; charitable organizations in the arts, education and environmental areas; and private corporate and family foundations

Representation of a statewide nonprofit in connection with a $2 million grant in its contracts for goods and services and subsequent constituent agreements

Representation of various nonprofit borrowers in four separate commercial lending and bond transactions ranging from $2 million to $50 million

Prior Experience

$71 million refinancing of a credit facility and multiple multi-million dollar acquisitions for a national outdoor advertising company

Representation of a high technology start-up and subsequent $25 million sale to a major multinational corporation

Numerous health care industry practice acquisitions and sales
