Professional Experience

Michael is the Practice Group Leader for the firm’s Business Services practice group. He specializes in small to middle-market business transactions, planning and pre-litigation dispute resolution for private companies, including mergers and acquisitions, business structuring and formations, buy-outs, corporate and partnership governance, and business dissolutions. He also has expertise in trademark, trade secret and copyright matters, including protection, dispute resolution and licensing.

Michael joined MHA immediately following his graduation from law school in 1986, and has practiced in the firm’s business department since then.

Represent seller in $10 million asset sales of two construction supply businesses (deals pending).

Represent purchaser in $6 million asset purchase (including real estate) of licensed residential care facility (deal pending).

Represented seller in $2 million stock sale (minority interest) in food manufacturing business (food processing industry).

Represented seller in $5-10 million asset sale (construction industry, deal did not close).

Represented a real estate mortgage broker company in a merger of two mortgage companies.
